Agreement to these terms

These Terms of Service (“Terms”) are an agreement between you and Spiteful Sloth LLC (“Spiteful Sloth,” “we,” “us”) covering your access to and use of www.spitefulsloth.com (the “Site”). If you do not agree to these Terms, do not use the Site. If you use the Site on behalf of a company, you confirm that you have authority to accept these Terms for that company.

Our services are covered by separate agreements

The Site describes the marketing services we offer. These Terms do not create a client relationship. Any services we perform are governed by a separate written agreement, proposal or statement of work signed by you and Spiteful Sloth. If that agreement conflicts with these Terms, the agreement controls.

Pricing, quotes and proposals

Prices, packages and descriptions shown on the Site are for general information and may change at any time without notice. A quote or proposal is not binding until both parties sign a written agreement. Submitting the contact form does not obligate you or us to enter into any agreement.

No guarantee of results

Content on the Site, including descriptions of past results, is for general informational purposes only and is not professional, legal or financial advice. Marketing outcomes depend on many factors outside our control, including search engine and advertising platform algorithms, competition and market conditions. We do not guarantee any particular ranking, traffic level, cost per acquisition, return on ad spend or other result.

Acceptable use

You agree not to:

• Use the Site in any way that violates any law or regulation.
• Submit false, misleading, harassing or unlawful content through our contact form.
• Send spam, malware or other harmful code, or attempt to gain unauthorized access to the Site or its systems.
• Interfere with the operation of the Site, or scrape or copy it in bulk by automated means, except for standard search engine indexing.
• Impersonate any person or misrepresent your affiliation with any person or company.

Intellectual property

The Site and its content, including text, graphics, photographs, logos, the Spiteful Sloth name and design, are owned by or licensed to Spiteful Sloth and are protected by copyright, trademark and other laws. You may view and print pages for your own personal or internal business reference. You may not copy, modify, distribute, sell or create derivative works from the Site content without our prior written permission.

Information you send us

When you send us a message through the Site, you confirm that the information is accurate and that you have the right to share it. We handle personal information as described in our Privacy Policy. Please do not send confidential information until a written agreement covering confidentiality is in place.

Third-party links and services

The Site may link to third-party websites or services, such as LinkedIn or advertising platforms. We do not control and are not responsible for their content, policies or practices. Your use of them is at your own risk and subject to their terms.

Disclaimer of warranties

THE SITE AND ITS CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY AND NON-INFRINGEMENT. We do not warrant that the Site will be uninterrupted, error-free or free of harmful components.

Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, SPITEFUL SLOTH AND ITS OWNERS, EMPLOYEES AND CONTRACTORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SITE. OUR TOTAL LIABILITY FOR ANY CLAIM RELATED TO THE SITE WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS ($100). Some jurisdictions do not allow certain limitations, so some of these may not apply to you.

Indemnification

You agree to defend, indemnify and hold harmless Spiteful Sloth from any claims, damages, losses and expenses, including reasonable attorneys’ fees, arising from your misuse of the Site or your violation of these Terms.

Governing law

These Terms are governed by the laws of the State of Illinois, without regard to its conflict-of-law rules. Any dispute arising from these Terms or the Site will be brought exclusively in the state or federal courts located in Cook County, Illinois, and you consent to the jurisdiction of those courts.

Changes and termination

We may update these Terms at any time by posting a revised version on this page and changing the effective date. Your continued use of the Site after changes are posted means you accept them. We may suspend or restrict access to the Site at any time.

General

If any part of these Terms is found unenforceable, the rest will remain in effect. Our failure to enforce any provision is not a waiver of it. These Terms, together with our Privacy Policy, are the entire agreement between you and us about the Site.
